Anthropic has filed to go public in the United States, proposing to list its Class A shares on the Nasdaq Global Select Market under the ticker ANT. The company’s Form S-1 registration statement is not yet effective, and the number of shares and price range have not been set. Shares cannot be sold before the filing takes effect, Anthropic said.

The filing gives investors a look at the scale of the company’s growth—and the cost. Anthropic reported $16.29 billion in revenue for the six months ended June 30, 2026, up from $1.16 billion in the same period a year earlier. CNBC reports that the company also recorded an $80.7 billion net loss for those six months, compared with a $12.9 billion loss in the first half of 2025. Its full-year 2025 loss was about $41.9 billion.

## Growth comes with large computing bills

Anthropic’s expansion has been fueled in part by Claude Code, its AI coding tool, and demand from corporate customers. But running its services requires substantial computing capacity. CNBC reports that Anthropic has agreed to spend up to $120.5 billion on computing from SpaceX through 2029. Once all promised capacity is delivered, the company expects to pay about $3.1 billion a month for access to computing powered by Nvidia chips.

The filing also points to a complicated relationship with its cloud providers. Microsoft, Amazon and Google sell access to Claude while also developing competing AI models, and Anthropic relies on major cloud and chip companies for computing capacity. The company says these ties create dependencies and potential vulnerabilities. It also reported that no single customer accounted for more than 10% of revenue in the nine months ended September 30, 2026, while its five largest customers together made up about a quarter.

## Investors do not yet have an offer price

Anthropic’s founders will retain substantial voting influence through Founder LLC, which the filing says will hold 50.1% of the voting power of outstanding shares. The company describes its capital and governance structure as having “no direct public company precedent” and says it could make it harder for shareholders to replace directors or management.

The filing names Goldman Sachs and Morgan Stanley as lead underwriters. Anthropic says it may use proceeds for general corporate needs, including computing-related capital spending, hiring and operating costs, and could also invest in or acquire businesses. It says it has no commitments for material acquisitions or investments at this time.

- Anthropic proposes to list Class A shares on Nasdaq under the ticker ANT.
- The S-1 filing does not yet specify the number of shares or the price range, and it is not effective.
- Anthropic reported $16.29 billion in first-half 2026 revenue and an $80.7 billion loss, according to the filing as reported by CNBC.
- Anthropic has agreed to spend up to $120.5 billion on SpaceX computing capacity through 2029, CNBC reports.
- Founder LLC is set to hold 50.1% of the voting power of outstanding shares, according to the filing.

## Why it matters

For people considering buying shares, the filing offers financial and spending figures but not an offer price or share count, so they cannot yet judge the proposed IPO’s cost. The reported loss and large computing commitments show the scale of Anthropic’s expenses; the filing does not establish when, or whether, the company will become profitable.
