Meta to issue non‑voting shares to fund AI spending

Meta plans new non‑voting stock, likely to sell more shares to pay for AI talent, chips and acquisitions.

Meta is preparing to create a class of non‑voting shares, people familiar with the plan said. The shares would let the company raise cash without cutting Mark Zuckerberg’s voting power. The move could be disclosed when Meta reports earnings on Wednesday, Oct. 21, 2026. The proceeds are expected to go toward AI hires, chip purchases and acquisitions. Alphabet used a similar structure in 2014 to fund its own AI investments.

Why it matters

Investors may see more share dilution while the company retains founder control as it pours money into AI.
